1. Services Provided

We provide access to products for CRM, automation, and marketing support. Add-ons like onboarding, custom integrations, or development work may be available for an additional fee.

2. Data Ownership & Compliance

You (the Client) own and are fully responsible for all data input into any product. You must comply with all relevant laws (including TCPA, CAN-SPAM, and data privacy regulations) when using the system. Vent Flow Digital, LLC is not liable for misuse, unlawful data entry, or regulatory violations stemming from your use.

3. User Conduct

Use the platform lawfully and in good faith.

Do not attempt to reverse-engineer, resell, or abuse the platform in a way that harms our business or customers.

4. Subscription & Fees

Your subscription begins upon account activation and is billed monthly or annually.

You may cancel at any time, and your service will remain active through the end of your current billing period.

After any applicable trial, no refunds will be issued.

5. Third-Party & Usage Fees

You are solely responsible for:

- SMS and email charges based on actual usage.

- Costs incurred from third-party software integrations or custom tools.

- Any ad spend or marketing campaigns you initiate.

- Custom development or enhancements requested outside our standard offering.

6. Intellectual Property

All content, code, and branding remain the exclusive property of Vent Flow Digital, LLC. You receive a non-exclusive, non-transferable license to use the platform while your subscription is active.

7. Limitation of Liability

Our total liability is limited to the fees you’ve paid in the last 90 days. We are not liable for indirect damages, data loss, or business interruption.

8. Indemnity

You agree to indemnify and hold harmless Vent Flow Digital, LLC from any claims arising from your use of any products, data practices, or violation of this agreement.

9. Governing Law

These terms are governed by the laws of the State of Louisiana. Disputes will be resolved first through mediation, then binding arbitration if needed.

10. Termination

After cancellation, you have 5 days to export your data before it is permanently deleted.

11. Modifications

We may update these Terms at any time. Continued use of the platform after changes constitutes your agreement to the new terms.
